OYASHOP – TERMS AND CONDITIONS

Effective Date: 20 September 2026
Governing Law: England and Wales


1. ABOUT THESE TERMS

1.1 About OyaShop

OyaShop is an online marketplace and technology platform operated by MISTECH GLOBAL LTD, Company Number 16531283, which provides technology and marketplace services connecting customers with independent Vendors offering goods and services.

For the purposes of these Terms, “OyaShop”, “we”, “our” and “us” means the OyaShop service and, where applicable, MISTECH GLOBAL LTD as the entity operating the service.

Where a separate OyaShop legal entity is incorporated and becomes the contracting entity for the relevant service, the applicable legal entity and company details will be identified on the relevant checkout, Vendor agreement or other contractual documentation.

1.2 Acceptance of these Terms

These Terms apply when you:

  • visit or use the OyaShop website;

  • use the OyaShop mobile application;

  • create an OyaShop account;

  • place or receive an order;

  • register as a Vendor;

  • participate in an OyaShop referral or promotional programme;

  • submit reviews or other content; or

  • use other services provided by OyaShop.

By using OyaShop, you agree to comply with these Terms and all applicable laws.

If you do not agree with these Terms, you should not use OyaShop.

1.3 Separate Agreements

Depending on how you use OyaShop, additional terms may apply, including:

  • the OyaShop Privacy Notice;

  • Cookie Policy;

  • Vendor Agreement;

  • Referral Programme Terms;

  • promotional terms;

  • payment-provider terms;

  • delivery-provider terms; and

  • terms relating to specific products or services.

Where additional terms apply, they will be made available to you before or when they become applicable.

1.4 Consumer Rights

Nothing in these Terms is intended to exclude, restrict or limit any statutory right, remedy, liability or protection that cannot legally be excluded or limited under applicable law.

Where these Terms conflict with a mandatory legal right, the mandatory legal right will apply.


PART A – CUSTOMER TERMS

2. ELIGIBILITY AND ACCOUNT CREATION

2.1 Age

You must be at least 18 years old to create an OyaShop account and place orders through the platform unless OyaShop expressly provides otherwise.

2.2 Account Information

You must provide accurate, complete and up-to-date information when creating an account.

You must not:

  • create an account using another person's identity;

  • provide false or misleading information;

  • create multiple accounts for fraudulent purposes; or

  • allow another person to use your account where this would breach these Terms.

2.3 Account Security

You are responsible for keeping your login credentials secure.

You must notify OyaShop promptly if you believe your account has been accessed without your permission.

2.4 Account Suspension

We may suspend or restrict an account where reasonably necessary to:

  • prevent fraud;

  • protect customers, Vendors or OyaShop;

  • investigate suspected unlawful activity;

  • comply with legal obligations;

  • enforce these Terms; or

  • protect the security of our systems.

Where reasonably possible and lawful, we will inform you of the reason for the suspension.


3. OYASHOP AS A MARKETPLACE

3.1 Marketplace Role

OyaShop provides technology that allows customers to discover products and services offered by independent Vendors.

Unless expressly stated otherwise, OyaShop is not the manufacturer, producer or seller of the Vendor's goods.

3.2 Contract With the Vendor

Where you purchase goods from an independent Vendor through OyaShop, the contract for the sale of those goods is generally between you and the Vendor.

The relevant Vendor will be identified on the applicable product listing, checkout, order confirmation or receipt.

3.3 OyaShop's Role

Depending on the service, OyaShop may:

  • display Vendor products;

  • facilitate ordering;

  • process or facilitate payment;

  • provide customer support;

  • facilitate refunds;

  • coordinate delivery or collection;

  • provide communications between customers and Vendors;

  • provide technology and marketplace services; and

  • provide additional services such as Oya or other AI-powered features.

3.4 Vendor Responsibility

Vendors are responsible for ensuring that their products and services:

  • comply with applicable law;

  • are accurately described;

  • are safe;

  • are of satisfactory quality;

  • are fit for their intended purpose where required;

  • comply with applicable food and allergen requirements;

  • are appropriately packaged and labelled; and

  • are lawfully offered for sale.

Nothing in these Terms removes or reduces a Vendor's legal obligations.


4. PRODUCT INFORMATION AND AVAILABILITY

4.1 Product Information

Product descriptions, images, ingredients, allergens, prices, availability and other information are provided by Vendors unless otherwise stated.

We expect Vendors to provide accurate information but cannot guarantee that every Vendor listing will always be completely accurate or up to date.

4.2 Product Images

Images are provided for illustrative purposes and may differ slightly from the actual product.

4.3 Availability

Products may become unavailable before or after an order is placed.

If an ordered product becomes unavailable, the Vendor or OyaShop may cancel the relevant part of the order and provide any applicable refund.

4.4 Substitutions

A Vendor may only substitute an item where this is permitted by the applicable ordering process or where you have agreed to the substitution.

Where a substitution materially changes the order, you may be entitled to a refund or other remedy.


5. FOOD, ALLERGENS AND PRODUCT SAFETY

5.1 Vendor Responsibility

Vendors selling food are responsible for complying with applicable UK food safety, hygiene, allergen, labelling and trading requirements.

5.2 Allergen Information

Vendors must provide accurate allergen and ingredient information where required by law.

Customers with allergies or dietary restrictions should review the information provided and, where necessary, contact the Vendor before ordering.

5.3 Cross-Contamination

Where relevant, customers should ask the Vendor about potential cross-contamination or traces of allergens.

OyaShop does not manufacture or prepare food and cannot independently guarantee that food is free from allergens.

5.4 Safety Concerns

If you believe a product is unsafe, contaminated, spoiled or otherwise presents a health or safety risk, do not consume it and contact OyaShop and/or the Vendor immediately.

We may suspend a listing or Vendor while investigating a safety concern.


6. ORDERS

6.1 Placing an Order

When you submit an order, you are making an offer to purchase the selected goods from the relevant Vendor.

An order is not necessarily accepted merely because you have submitted it or received an automated acknowledgement.

6.2 Acceptance

An order may be accepted by the Vendor through the OyaShop platform.

Once accepted, a contract for the relevant goods is formed between you and the Vendor, subject to applicable law.

6.3 Order Confirmation

We may provide an electronic order confirmation containing details such as:

  • Vendor name;

  • products;

  • quantities;

  • prices;

  • delivery or collection method;

  • applicable fees;

  • estimated delivery or collection time; and

  • payment information.

6.4 Order Cancellation by Vendor

A Vendor may cancel an order where reasonably necessary, including because:

  • an item is unavailable;

  • the Vendor cannot fulfil the order;

  • there is a safety issue;

  • an incorrect price was displayed;

  • the Vendor suspects fraud;

  • circumstances outside the Vendor's reasonable control prevent fulfilment; or

  • cancellation is required by law.

Where an order is cancelled and payment has already been taken, you will receive any refund required under applicable law.


7. PRICES AND PAYMENTS

7.1 Prices

Prices will be displayed before you place an order.

Where applicable, the checkout will also identify delivery charges, service fees or other mandatory charges before you confirm the purchase.

7.2 Pricing Errors

If a material pricing error occurs, we may contact you before fulfilling the order.

Where legally permitted, the order may be cancelled and any payment taken for the affected item refunded.

7.3 Payment Providers

Payments may be processed by third-party payment providers.

You may be required to accept the payment provider's terms and privacy practices.

7.4 Payment Authorisation

You confirm that you are authorised to use the payment method provided.

7.5 Payment Security

OyaShop does not ordinarily store complete payment card details where payment processing is handled by a third-party payment provider.

Payment information is processed in accordance with the relevant provider's security and privacy practices.


8. DELIVERY AND COLLECTION

8.1 Delivery Estimates

Delivery times displayed on OyaShop are estimates unless expressly stated otherwise.

Delivery may be affected by:

  • Vendor preparation time;

  • courier availability;

  • traffic;

  • weather;

  • technical problems;

  • customer availability;

  • incorrect delivery information; or

  • events outside reasonable control.

8.2 Delivery Partners

OyaShop may use independent third-party delivery providers.

The delivery provider may process information necessary to complete delivery.

8.3 Customer Responsibility

You must provide accurate delivery information and, where required, be available to receive the order.

If you provide incorrect information or are unavailable, this may affect delivery and any applicable refund.

8.4 Collection

Where collection is selected, you are responsible for collecting the order within the stated collection period.

8.5 Failed Delivery

If an order is not delivered, is delivered to the wrong address, or arrives materially different from what was ordered, contact OyaShop as soon as reasonably possible.

Your statutory rights remain unaffected.


9. CANCELLATIONS, RETURNS AND REFUNDS

9.1 Statutory Rights

Nothing in this section affects any statutory rights or remedies available to consumers under UK law.

9.2 Customer Cancellation

Depending on the nature of the goods and the stage of fulfilment, you may be able to cancel an order.

Certain goods, including some perishable goods or goods that are unsuitable for return for health or hygiene reasons, may be subject to statutory exceptions.

9.3 Cancellation Before Preparation

Where the ordering system permits cancellation before preparation has started, you may cancel through the platform.

9.4 Vendor Cancellation

If a Vendor cancels an accepted order and payment has already been taken, OyaShop will arrange the applicable refund.

9.5 Incorrect, Missing or Damaged Goods

Where goods are:

  • missing;

  • materially incorrect;

  • damaged;

  • unsafe;

  • not as described; or

  • otherwise subject to a statutory remedy,

you should contact OyaShop as soon as reasonably possible.

9.6 Perishable Goods

For perishable goods, you should report problems such as spoilage or damage as soon as reasonably possible after delivery.

Where appropriate, we may request photographs or other information to help investigate the issue.

9.7 Refund Assessment

Refunds may be assessed based on:

  • the circumstances of the order;

  • evidence provided;

  • the Vendor's response;

  • delivery information;

  • applicable law; and

  • any relevant payment-provider requirements.

9.8 Partial Refunds

Where only part of an order is affected, a partial refund may be provided where appropriate.

9.9 Refund Timing

Approved refunds will normally be initiated within 5–10 working days, although the time taken for the funds to appear in your account may depend on the payment provider or financial institution.


10. REVIEWS, RATINGS AND USER CONTENT

10.1 Reviews

Customers may be able to submit reviews and ratings for products, Vendors or delivery experiences.

10.2 Genuine Reviews

Reviews must reflect the reviewer's genuine experience.

You must not:

  • submit fake reviews;

  • impersonate another person;

  • submit reviews for products or services you did not experience;

  • offer or accept payment for misleading reviews;

  • manipulate ratings;

  • submit multiple fraudulent reviews; or

  • coordinate reviews designed to artificially increase or decrease a rating.

10.3 Review Moderation

OyaShop may moderate, reject or remove content where reasonably necessary, including where content:

  • is unlawful;

  • is fraudulent;

  • is defamatory;

  • contains personal information;

  • is abusive or threatening;

  • contains prohibited material; or

  • breaches these Terms.

OyaShop will not manipulate genuine reviews to create a misleading overall impression.

10.4 Review Transparency

Where OyaShop publishes reviews, we may explain how reviews are collected, moderated and displayed.


11. PROHIBITED CUSTOMER USE

You must not use OyaShop to:

  • commit fraud;

  • facilitate illegal activity;

  • purchase prohibited goods;

  • impersonate another person;

  • provide false information;

  • interfere with OyaShop's systems;

  • attempt unauthorised access;

  • introduce malicious code;

  • scrape or systematically copy platform data without permission;

  • manipulate reviews or ratings;

  • abuse promotions or referral rewards;

  • use another person's payment method without authorisation; or

  • otherwise misuse the platform.


PART B – VENDOR TERMS

12. VENDOR REGISTRATION

12.1 Vendor Information

Vendors must provide accurate and complete information requested by OyaShop, which may include:

  • legal/business name;

  • trading address;

  • contact details;

  • company or business registration details;

  • bank account information;

  • identity information;

  • licences and registrations;

  • food business registration where applicable;

  • VAT information where applicable; and

  • other information reasonably required for compliance.

12.2 Verification

OyaShop may verify Vendor information directly or through third-party providers.

Verification does not constitute a guarantee that the Vendor or its products comply with every applicable legal requirement.

12.3 Legal Compliance

Vendors must comply with all laws applicable to their business, including where relevant:

  • food safety law;

  • food hygiene requirements;

  • allergen and labelling requirements;

  • consumer protection law;

  • trading standards requirements;

  • intellectual property law;

  • tax requirements;

  • data protection law;

  • product safety requirements; and

  • licensing requirements.

12.4 Insurance

Vendors should maintain appropriate insurance for their business and products where required by law or reasonably appropriate for their activities.

OyaShop may request evidence of insurance where reasonably necessary.


13. VENDOR PRODUCTS

13.1 Lawful Products

Vendors must only list goods that they are legally permitted to sell.

13.2 Prohibited Products

Vendors must not list illegal, counterfeit, unsafe or otherwise prohibited goods.

OyaShop may remove any listing that it reasonably believes breaches applicable law or these Terms.

13.3 Product Accuracy

Vendors must ensure that product:

  • descriptions;

  • photographs;

  • ingredients;

  • allergen information;

  • prices;

  • quantities;

  • availability;

  • expiry information; and

  • other material information

are accurate and kept up to date.

13.4 Product Safety

Vendors are responsible for ensuring that products supplied to customers are safe and comply with applicable law.


14. ORDER FULFILMENT

14.1 Vendor Responsibilities

Vendors must:

  • accept or reject orders promptly;

  • prepare orders safely;

  • fulfil accepted orders accurately;

  • maintain appropriate hygiene and storage conditions;

  • provide required product information;

  • notify OyaShop of material issues; and

  • cooperate with customer complaints and refund investigations.

14.2 Incorrect Orders

Where a Vendor sends an incorrect, incomplete or materially defective order, the Vendor may be responsible for the resulting costs, subject to applicable law and the Vendor Agreement.

14.3 Food Safety Incidents

Vendors must immediately notify OyaShop of any known or suspected food safety incident affecting products listed or sold through OyaShop.


15. VENDOR FEES AND PAYMENTS

15.1 Commission

OyaShop may deduct the agreed commission or other applicable fees from amounts payable to Vendors.

The applicable rates will be communicated to Vendors separately.

15.2 Payment Schedule

Vendors may receive settlements weekly, monthly or according to another agreed schedule.

15.3 Refunds and Adjustments

OyaShop may make reasonable deductions or adjustments for:

  • approved refunds;

  • chargebacks;

  • cancelled orders;

  • commissions;

  • payment-provider fees;

  • delivery-related adjustments where agreed;

  • fraudulent transactions; and

  • other agreed contractual adjustments.

15.4 Payment Information

Vendors must provide accurate bank/payment information.

OyaShop is not responsible for payment delays caused by incorrect information supplied by a Vendor.

15.5 Cash Payments

Where OyaShop permits cash payment, the applicable commission or platform fees may be deducted from the Vendor's account balance or future settlement.

15.6 Records

OyaShop may provide Vendors with statements showing transactions, commissions, refunds and adjustments.


16. VENDOR TAX RESPONSIBILITIES

Vendors are responsible for their own tax, VAT, accounting, reporting and other financial obligations arising from their business.

OyaShop may be required to collect and report certain Vendor information to tax authorities or other authorities under applicable law.

Vendors agree to provide information reasonably required for such reporting.


17. VENDOR DATA PROTECTION

17.1 Compliance

Vendors must comply with applicable data protection law when receiving or processing customer information.

17.2 Customer Information

Customer information supplied to Vendors through OyaShop may only be used for legitimate purposes connected with fulfilling orders, providing customer service, handling complaints or complying with legal obligations.

17.3 No Unauthorised Marketing

Vendors must not use customer information obtained through OyaShop to send independent marketing communications unless they have an appropriate lawful basis and comply with applicable marketing and privacy laws.

17.4 Security

Vendors must take reasonable technical and organisational measures to protect customer information.

Any suspected personal data breach involving information obtained through OyaShop must be reported to OyaShop without undue delay.


18. VENDOR INTELLECTUAL PROPERTY

18.1 Vendor Ownership

Vendors retain ownership of intellectual property they own and provide to OyaShop.

18.2 Licence to OyaShop

Vendors grant OyaShop a worldwide, non-exclusive, royalty-free licence to use, reproduce, display and adapt Vendor-provided:

  • trademarks;

  • logos;

  • product photographs;

  • product descriptions;

  • menus; and

  • promotional materials

for the purposes of operating, displaying, promoting and marketing the Vendor's products and OyaShop.

18.3 Vendor Warranty

Vendors confirm that they have the necessary rights to provide this licence and that their content does not knowingly infringe another person's rights.

18.4 Termination

The licence will normally continue only for as long as reasonably necessary to operate the platform and deal with historical records, marketing materials, legal obligations or disputes following termination.


19. VENDOR SUSPENSION AND TERMINATION

OyaShop may suspend, restrict or terminate a Vendor account where reasonably necessary because of:

  • breach of these Terms;

  • suspected fraud;

  • unlawful activity;

  • food safety concerns;

  • repeated customer complaints;

  • unsafe or counterfeit products;

  • failure to fulfil orders;

  • payment abuse;

  • inaccurate information;

  • regulatory concerns;

  • data protection concerns; or

  • risks to customers, Vendors or OyaShop.

Where reasonably practicable, OyaShop will provide the Vendor with information about the reason for suspension or termination.


20. TERMINATION AND OUTSTANDING ORDERS

Termination does not automatically cancel obligations relating to orders already accepted.

The parties must cooperate to resolve:

  • outstanding orders;

  • refunds;

  • chargebacks;

  • customer complaints;

  • payment adjustments;

  • legal or regulatory matters; and

  • other outstanding obligations.

OyaShop may retain records where necessary to comply with legal, accounting, tax, fraud-prevention or dispute-resolution obligations.


PART C – REFERRAL AND PROMOTIONAL TERMS

21. REFERRAL PROGRAMMES

21.1 Programme

OyaShop may operate referral programmes for customers, Vendors, Ambassadors or other participants.

Each programme may have separate qualifying conditions and reward amounts.

21.2 Rewards

Rewards may include:

  • gift cards;

  • shopping vouchers;

  • promotional credits; or

  • other rewards expressly identified by OyaShop.

21.3 Eligibility

Participants must provide accurate information and comply with the applicable referral rules.

21.4 Fraud and Abuse

OyaShop may withhold or cancel rewards where there is reasonable evidence of:

  • fraud;

  • fake accounts;

  • self-referrals;

  • manipulation;

  • duplicate accounts;

  • misleading promotion;

  • abuse of promotional codes; or

  • other attempts to circumvent programme requirements.

21.5 Changes

OyaShop may change or discontinue a referral programme subject to applicable law and any specific terms already governing rewards that have been validly earned.

21.6 No Waiver of Legal Rights

Nothing in the referral programme terms removes any legal rights or remedies that cannot lawfully be excluded.


22. TAX ON REWARDS

Participants are responsible for determining whether rewards they receive create any personal or business tax obligations.

Where OyaShop is required by law to collect or report information concerning rewards, participants agree to provide accurate information reasonably required for that purpose.


PART D – INTELLECTUAL PROPERTY AND PLATFORM

23. OYASHOP INTELLECTUAL PROPERTY

Unless otherwise stated, OyaShop and/or its licensors own or control the intellectual property in:

  • the OyaShop website;

  • mobile applications;

  • software;

  • branding;

  • logos;

  • user interface;

  • platform design;

  • databases;

  • text;

  • graphics;

  • source code;

  • AI technology;

  • documentation; and

  • other platform materials.

You may use OyaShop only for its intended purposes.

You must not copy, reproduce, reverse engineer, distribute, sell or commercially exploit OyaShop's intellectual property except where permitted by law or with written permission.


24. USER CONTENT

24.1 User Content

Users may submit reviews, comments, photographs or other content.

24.2 Licence

By submitting content to OyaShop, you grant OyaShop a non-exclusive, worldwide, royalty-free licence to host, reproduce, display and distribute that content for operating and promoting OyaShop.

24.3 Responsibility

You remain responsible for the content you submit.

You must not submit content that:

  • infringes another person's rights;

  • contains unlawful material;

  • contains another person's personal data without appropriate permission;

  • is fraudulent;

  • is defamatory;

  • is abusive or threatening; or

  • breaches these Terms.


25. OYA AND AI SERVICES

OyaShop may provide an AI assistant or other automated technology known as Oya.

Oya may assist with activities such as:

  • product discovery;

  • searching Vendor catalogues;

  • comparing products;

  • answering questions;

  • assisting with orders;

  • customer support;

  • voice or text interactions; and

  • other marketplace functions.

25.1 AI Limitations

AI-generated information may contain errors or omissions.

You should verify important information directly with the relevant Vendor, particularly information relating to:

  • allergies;

  • ingredients;

  • dietary requirements;

  • product safety;

  • prices;

  • availability;

  • delivery;

  • medical or health matters; or

  • other information where an error could cause harm.

25.2 No Professional Advice

Oya is not a substitute for professional legal, medical, financial or other professional advice.

25.3 Automated Processing

Where OyaShop uses automated decision-making or profiling that is subject to applicable data protection requirements, relevant information will be provided in the Privacy Notice.


PART E – PRIVACY AND DATA PROTECTION

26. PRIVACY

26.1 Privacy Notice

OyaShop processes personal data in accordance with applicable data protection law, including the UK GDPR and Data Protection Act 2018, as applicable.

Our separate Privacy Notice explains:

  • what personal data we collect;

  • why we collect it;

  • our lawful bases for processing;

  • how information is used;

  • who information is shared with;

  • Vendors and delivery partners who may receive relevant information;

  • payment and technology providers;

  • international data transfers;

  • retention periods;

  • data security;

  • automated decision-making and profiling where applicable;

  • your data protection rights; and

  • how to contact us or complain to the Information Commissioner's Office.

26.2 Vendors and Personal Data

Where customer information is provided to a Vendor, the Vendor must only use it for legitimate purposes connected with the OyaShop service and must comply with applicable data protection law.

26.3 Marketing

OyaShop may send marketing communications where permitted by applicable law.

Where consent is required, you will be given an appropriate opportunity to provide or withdraw consent.

26.4 Data Requests

You may exercise applicable data protection rights using the contact details in our Privacy Notice.


PART F – SERVICE AVAILABILITY

27. PLATFORM AVAILABILITY

We aim to keep OyaShop available and reliable but do not guarantee uninterrupted availability.

The platform may occasionally be unavailable because of:

  • maintenance;

  • upgrades;

  • security measures;

  • technical failures;

  • third-party service failures;

  • cyber incidents;

  • network failures; or

  • circumstances outside our reasonable control.

We may suspend or modify parts of the service where reasonably necessary.


28. THIRD-PARTY SERVICES

OyaShop may integrate with third-party services, including:

  • payment providers;

  • delivery providers;

  • cloud providers;

  • mapping providers;

  • communications providers;

  • identity or verification providers;

  • analytics providers; and

  • AI or technology providers.

Third-party services may have their own terms and privacy policies.

OyaShop is not responsible for independent third-party services to the extent permitted by law.


29. LINKS TO THIRD-PARTY WEBSITES

OyaShop may contain links to external websites or services.

We do not control those websites and are not responsible for their content, security, availability or privacy practices.


PART G – LIABILITY

30. OUR RESPONSIBILITY

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

This includes, where applicable, liability for:

  • death or personal injury caused by negligence;

  • fraud or fraudulent misrepresentation;

  • breach of statutory consumer rights; or

  • other liability that cannot legally be excluded.

30.1 Marketplace Limitations

Subject to applicable law, OyaShop is not responsible for matters that are solely within a Vendor's responsibility, including:

  • the manufacture of goods;

  • the ingredients or preparation of food;

  • the safety or quality of Vendor goods;

  • Vendor compliance with food law;

  • Vendor descriptions;

  • Vendor stock;

  • Vendor business practices; or

  • Vendor fulfilment,

unless OyaShop has separately assumed responsibility for the relevant matter.

30.2 Delivery

Where delivery is performed by an independent third-party courier, OyaShop is not responsible for matters solely caused by that courier, subject always to your statutory rights and any responsibility OyaShop has expressly undertaken.

30.3 Indirect Losses

To the extent permitted by law, we are not responsible for indirect or consequential losses that were not reasonably foreseeable when the relevant contract was formed.

30.4 Business Users

Where you use OyaShop as a business or Vendor rather than as a consumer, different limitations may apply under the relevant Vendor or business agreement.


31. VENDOR INDEMNITY

To the extent permitted by law, Vendors agree to indemnify OyaShop against reasonable losses, liabilities, costs and claims arising from the Vendor's:

  • unlawful conduct;

  • breach of these Terms;

  • products;

  • food safety failures;

  • infringement of third-party intellectual property rights;

  • misuse of customer information; or

  • failure to comply with applicable law,

except to the extent that the claim was caused by OyaShop's own breach, negligence or unlawful conduct.


PART H – FORCE MAJEURE

32. EVENTS OUTSIDE OUR CONTROL

OyaShop will not be responsible for delay or failure caused by events outside our reasonable control, including:

  • natural disasters;

  • severe weather;

  • fire;

  • flood;

  • epidemic or pandemic;

  • strikes;

  • industrial disputes;

  • government action;

  • war;

  • terrorism;

  • civil unrest;

  • major infrastructure failure;

  • internet or telecommunications failure;

  • cyber incidents; or

  • failure of third-party service providers.

This does not remove any mandatory consumer rights or remedies.


PART I – COMPLAINTS AND DISPUTES

33. CUSTOMER COMPLAINTS

Where appropriate, OyaShop may contact the relevant Vendor and/or delivery provider to investigate the complaint.

33.1 Vendor Complaints

Customers may be directed to the relevant Vendor where the complaint concerns matters that are legally the Vendor's responsibility.

This does not prevent you from contacting OyaShop where OyaShop is responsible for the relevant service.


34. DISPUTE RESOLUTION

We encourage customers and Vendors to contact us first so that we can attempt to resolve disputes informally.

Nothing in this section prevents a consumer from exercising a legal right or bringing proceedings where permitted by law.


35. GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of England and Wales.

Where you are a consumer, nothing in these Terms removes any mandatory rights you may have under the law of the part of the UK in which you live or prevents you from bringing proceedings in a court that has jurisdiction under applicable consumer law.

Where permitted by law, the courts of England and Wales will have jurisdiction over disputes relating to these Terms.


PART J – GENERAL TERMS

36. CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect:

  • changes to our services;

  • changes in technology;

  • changes in applicable law;

  • security requirements;

  • changes to payment or delivery arrangements; or

  • changes to our business.

Where a material change affects existing customers or contractual rights, we will provide reasonable notice where required by law.

The latest version will be made available on OyaShop.


37. SEVERABILITY

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be modified or removed to the minimum extent necessary.

The remaining provisions will continue to apply.


38. NO WAIVER

If we do not immediately enforce a provision of these Terms, this does not mean that we waive our right to enforce it later.


39. ASSIGNMENT

You may not transfer your rights or obligations under these Terms without our written consent, except where permitted by law.

OyaShop may transfer or assign its rights and obligations where reasonably necessary as part of a corporate restructuring, merger, acquisition, sale of assets or similar transaction, provided that applicable legal requirements are met.


40. ENTIRE AGREEMENT

These Terms, together with any applicable additional terms, Privacy Notice, Vendor Agreement, promotional terms and other documents expressly incorporated into them, form the agreement governing your use of OyaShop.

Nothing in this clause excludes liability or rights that cannot legally be excluded.


41. THIRD-PARTY RIGHTS

Except where expressly stated otherwise, a person who is not a party to these Terms does not have rights to enforce any provision of these Terms under the Contracts (Rights of Third Parties) Act 1999.

This does not affect any rights that may exist independently under applicable law.
